As part of Black Connect’s pro bono Small Business Legal Services Program for small businesses, entrepreneurs and nonprofit organizations, Winston & Strawn’s Corporate Department will conduct a training on business formation and legal considerations when forming a new business entity. The presentation will cover:

• The different types of business entities;

• The concept of limited liability and when it applies;

• The difference between a C-Corp. and S-Corp.;

• Important things to consider when deciding which type of entity would best fit your business;

• How to restructure your business and change from one type of entity to another;

• The different types of agreements that are needed for each entity type;

• General tax implications for the different types of business entities.

Meet the Presenters. . .

Daphny Lazarus, Esq.

Daphny Lazarus is an associate in the Tax Department of Winston & Strawn’s New York office who concentrates her practice in the tax aspects of a wide range of public company and private equity ransactions. Daphny received her B.A. from Hunter College. She earned her J.D. from Fordham University School of Law where she served as a Clinic Intern for the Consumer Litigation Clinic and the Entrepreneurial Law Clinic.

Austin Leach, Esq.

Austin Leach is a corporate associate in the firm’s New York office. He advises private equity firms and public companies in connection with platform and add-on acquisitions, divestitures and other exit strategies, joint ventures, and general corporate matters. Austin received his B.A., cum laude, from Amherst College in 2008, and he received his J.D. in 2013 from Columbia Law School, where he was a Managing Editor of the Columbia Journal of Race and Law and a Teaching Fellow for the Arts Law Externship.

Jose Jaime Esq.

Jose Jaime is an associate in the firm’s New York Office. He has experience representing private equity funds, lenders, and borrowers in connection with a variety of financings, acquisitions, and general corporate matters. Jose received his B.A. from Columbia University. He earned his J.D. from Brooklyn Law School.

Cara Buchicchio, Esq.

Cara Buchicchio is based out of Winston & Strawn’s New York office. She assists clients with their qualified retirement plans, health and welfare benefits, and executive compensation plans and agreements. Cara received her B.A., cum laude, from Duke University in 2014. She received her J.D. from New York University School of Law in 2020, where she was the managing editor of the Journal of Law & Business and a member of the Student Bar Association. Prior to law school, Cara worked in technology sales and consulting at a Fortune 100 company..
